1. SUBJECT MATTER

1.1. The purpose of these General Terms and Conditions of Sale (hereinafter, "GENERAL TERMS AND CONDITIONS") is to define the terms and conditions of sale made at a distance, through a telematic network, on the WEBSITE https://thaderpharma.com/ (hereinafter, "WEBSITE").

1.2. The identification data of the HOLDER of the WEBSITE are: Innovaciones Cosmético-Farmacéuticas, S.L. (hereinafter, ldquo;Thader Pharmardquo;) with registered office at Calle Carlos Egea Krauel, 1319 - Polígono Industrial Oeste- 30169San Ginés, Murcia, Spain. Registered in the Mercantile Register of Murcia; Volume 2.949; Book 0; Folio 80; Page MU-83170; Inscription 2 C.I.F B73787186.

2. ACCEPTANCE OF THE GENERAL CONDITIONS OF SALE

2.1. All purchases of PRODUCTS made through the SITE (hereinafter, "PURCHASE CONTRACTS") by users accessing the SITE (hereinafter, "CUSTOMERS") are governed by these CONDITIONS OF SALE;) are governed by these GENERAL CONDITIONS, all additional conditions indicated in the places corresponding to each subject on this WEBSITE, as well as by Law 1/2007, of 16 November, of the Revised Text of the General Law for the Defence of Consumers and Users and the Civil Code, as well as all applicable regulations and Community regulations on electronic commerce.

2.2. By entering into the PURCHASE CONTRACTS, in accordance with the procedure, the CLIENT accepts and undertakes to comply with these GENERAL CONDITIONS.

2.3. The CUSTOMER is therefore obliged to carefully read these GENERAL CONDITIONS provided by Thader Pharmapos to enable him/her to print them before making any purchase transaction.

2.4. Thader Pharmapay modify the contents of the GENERAL CONDITIONS at any time and without prior notice. The GENERAL TERMS AND CONDITIONS published on the SITE shall apply to all PURCHASE CONTRACTS at the time the CUSTOMER submits the purchase order.

3. PRODUCTS

3.1. http://thaderpharma.com/ (hereinafter ldquo;SITErdquo;) is a telematic site for the sale of hairdressing, cosmetics, make-up and accessories PRODUCTS from the Pharma brand (hereinafter ldquo;PRODUCTSrdquo;).

3.2. All the PRODUCTS offered are shown in detail on the SITE, within the corresponding sections, differentiated by PRODUCT category.

3.3. The visual representation of the PRODUCTS on the SITE, where available, has an indicative value that normally corresponds to the photographic image of the PRODUCTS themselves and is merely intended to present them for sale, without any guarantee or commitment on the part of Thader Pharma as to the exact correspondence between the image presented on the SITE and the actual PRODUCT, with particular reference to the actual dimensions and/or the chromatic aspects of the PRODUCTS and/or the packaging. The colours are indicative, as their visualisation also depends on the characteristics and configuration of the device from which you are browsing.

3.4. If there are differences between the image and the written PRODUCT sheet, the description on the PRODUCT sheet shall always be considered valid.

4. PURCHASING PROCEDURE

4.1. The CUSTOMER may purchase the PRODUCTS contained in the Thader Pharma electronic catalogue, which are shown in detail on the SITE in the relevant PRODUCT category sections, and described in the relative information sheets contained on the SITE, in compliance with the technical access procedures indicated.

4.2. In order to purchase the PRODUCTS, the CUSTOMER must register on the SITE by entering his/her personal data, following the instructions of the registration programme, and must fill in and send to Thader Pharma the order form in electronic format available on the SITE, following the instructions indicated. All parts of the purchase orders must be filled in. If the CUSTOMER does not wish to register on the SITE, he/she may in any case complete the purchase procedure, but will not be able to check the status of his/her orders or take advantage of discounts and promotions.

4.3. The CLIENT will have to enter the selected PRODUCTS in the corresponding basket and, after having chosen the transport company and having read and accepted the amount of the shipping costs, will be able to continue with the purchase.

4.4. In the event that the CUSTOMER needs to modify the purchase order or modify some of the data contained therein, he/she will have to carry out the corresponding modification procedure present on the SITE. In particular, the CUSTOMER may modify the quantity of PRODUCTS he/she wishes to purchase by adding or removing one or more PRODUCTS from the BASKET.

4.5. When this operation is completed, the CUSTOMER will see a screen containing the summary of the order, including shipping costs, with a request for further confirmation of the purchase procedure.

4.6. After having viewed the order summary the CUSTOMER will have to select the desired payment method, i.e. cash on delivery (cash on delivery), credit card or PayPal, or - if available - by GIFT VOUCHER, and submit the order by clicking on the corresponding button.

5. TERMINATION OF THE CONTRACT

5.1. The publication of the PRODUCTS displayed on the SITE constitutes an invitation for the CUSTOMER to make a contractual purchase proposal. The order submitted by the CUSTOMER is considered a contractual proposal and implies full knowledge and acceptance of these GENERAL CONDITIONS.

5.2. All PURCHASE CONTRACTS stipulated between Thader Pharm and the CUSTOMER are considered to be finalised once Thader Pharm sends the order acceptance to the e-mail address provided by the CUSTOMER. This confirmation message will contain an ORDER NUMBER which must be used in all subsequent correspondence with Thader Pharma. The message will contain, in addition to the information required by law, all the data entered by the CUSTOMER, who undertakes to check the veracity of such data and to communicate any possible modification in time. Any possible charges arising from errors in the data not reported in time shall be borne exclusively by the CUSTOMER.

5.3. The CUSTOMER can view all orders on the SITE, in his/her personal area, if registered, or by contacting the Thader Pharma CUSTOMER Service immediately after the order has been sent.

5.4. Occasional unavailability of the PRODUCTS offered may occur, in which case, if the PRODUCTS that the CUSTOMER has chosen are not, in whole or in part, available, the shipment will be made with the PRODUCTS available at that time and a communication will be sent to the CUSTOMER as soon as possible about the unavailable PRODUCTS.

5.5. Thader Pharma has the right to accept or not, at its discretion, the order sent by the CUSTOMER, without the latter being able to file a lawsuit or exercise rights of any kind, in any title, not even for compensation for damages, in the event that the order is not accepted.

5.6. In particular, Thader Pharmase reserves the right not to accept purchase proposals and to cancel orders that show obvious errors or do not provide sufficient guarantees of solvency or if - after a comparison with the circuit that manages payments - anomalies are found in the transactions and payment methods used by the CUSTOMER.

5.7. The CUSTOMER may at any time verify the content of the PURCHASE CONTRACTS concluded by accessing his/her personal area of the SITE, if registered, or by contacting Thader Pharma's CUSTOMER Service. Such data will be available for a period of 12 months from the date of delivery of the PRODUCTS.

6. PRODUCT PRICES

All the prices of the PRODUCTS shown at any given time are clearly indicated in Euros on the SITE and include VAT. A price at a given time does not imply that it cannot undergo variations in the future. In the event of an obvious error in the price, Thader Pharma reserves the right to cancel the order.

The shipping costs are shown appropriately at the corresponding point of the order. The cost of each shipment may vary depending on the method of shipment and payment as well as the destination and the total amount of the order.

7. INVOICING AND PAYMENT METHODS

7.1. Thader Pharma issues the invoice for the PRODUCTS purchased at the time the PRODUCTS are delivered to the transport company for shipment, sending it by e-mail to the CLIENT. The information provided by the CUSTOMER is used to issue the invoice. By accepting these general conditions, you agree to the sending of the invoice by e-mail and/or instant messaging (whatsapp). You can request your invoice on paper through the contact section on the website.

7.2. As detailed below in the corresponding points, payments by Credit Card and PayPal require exclusively an authorisation or a reservation of the money without an actual charge being made when the CUSTOMER enters the order. The payment is therefore charged to the CUSTOMER only at the moment when the PRODUCTS are delivered to the transport company responsible for the delivery. At this stage Thader Pharma will also issue the invoice corresponding to the order.

7.3. The methods of payment for the PRODUCTS purchased may be modified, and may be by credit card, PayPal, cash on delivery, Bizum, bank transfer (if available) or GIFT VOUCHER (if available) according to the methods indicated below:

Credit card:

Accepted credit cards are: Visa and MasterCard.

All data is transmitted encrypted by SSL certificate and cannot be intercepted by third parties. The payment gateway used is the official BANKIA one.

Furthermore, the data is entered directly on the bank's WEBSITE, which guarantees maximum security.

The amount of the order is not immediately charged to the card, but in a successive phase, within the limits authorised by the CUSTOMER.

When the order is entered on the Thader Pharma SITE, only a payment authorisation for the amount indicated is requested (it is likely that the bank issuing the card will send an SMS/e-mail to the CUSTOMER at that time).

The authorisation does not imply the debiting of the amount but simply a reservation of the amount.

When the order is handed over to the transport company, carrier or any other party commissioned by Thader Pharma to deliver, the amount due is requested to be debited.

This ensures that the amount of money is charged to the credit card only at the time of shipment of the material and cash of the PRODUCTS and only for the amount corresponding to the PRODUCTS actually shipped.

PayPal:

PayPal, an eBay group company, is a fast and secure payment system.

Once the order has been completed and the PayPal method has been chosen as the method of payment, the buyer will be redirected to the PayPal SITE, where he/she can access his/her account by entering his/her personal e-mail address and password.

Once you have registered, you can access the payment section via PayPal without having to re-enter your details, even for subsequent purchases.

If you choose PayPal as your payment method, the amount is charged directly to the associated credit card (Visa, Visa Electron, Mastercard) or prepaid card (PostePay). PayPal protects the buyer's information as no financial information is passed on.

For each transaction made with this payment method, PayPal will send a confirmation email.

It is specified that the amount of the order will be debited from the PayPal account when the transport company collects the order. During the order entry phase on the WEBSITE, a simple request for authorisation will be made to check the availability of the CUSTOMER's PayPal account, without any charge being made.

If the order is cancelled, the amount will be refunded to the CUSTOMER's PayPal account.

This method of payment may entail an increase in the cost in %, which will be indicated at the time of processing the order, if any.

Cash on delivery:

The CUSTOMER can pay directly to the carrier when the ordered PRODUCTS are delivered.

For this form of payment only cash is accepted. The carrier will not accept bank cheques or circular cheques and will not deliver the PRODUCTS until it has received the exact amount indicated in the order. The carrier is not authorised to make change.

This method of payment entails an increase in the cost in %, which will be indicated at the time of processing the order.

Bank transfer:

If you choose to pay by bank transfer (or bank deposit) you will be given your account number to make the payment in the order confirmation email. You can make a bank transfer from your usual bank or, if you prefer, make a deposit at a bank branch.

Once payment has been received, your order will be sent by express transport the same day, notifying you by email that the package has been delivered to the transport agency. If payment has not been received within 7 working days, the order will be cancelled.

This payment option is not always available. If you need to make your purchase this way and it is not available at that moment, let us know through the contact form.

Gift voucher:

If available, the CUSTOMER can use a ldquo;GIFT VOUCHEROrdquo; for payment, by selecting in the GIFT VOUCHER BASKET as the payment method and entering (after having chosen the shipping method) the number below the barcode and the number of the security code.

8. SHIPPING METHODS AND COSTS

8.1. The shipping costs for Spain (peninsula, Balearic and Canary Islands) and Portugal (peninsula) are 3.90 euros, except for purchases over 30 euros, in which case they are 0 euro. For France the shipping costs are 5,95euro;, except for purchases over 60 euro; in which case they are 0 euro;. For Germany the shipping costs are 9,95euro;, except for purchases over 70euro; in which case they are 0euro;. These amounts can be changed at any time by Thader Pharma in these Conditions of Sale. The exact amount is shown at the time of purchase and will not be modified in any case.

8.2. Thader Pharma undertakes to deliver the goods without undue delay and in any case not later than thirty days after the date of completion of the contract. Delivery of the PRODUCTS will be made by a transport company, and delivery times will vary depending on the destination. The delivery times indicated at the time of the purchase order are in any case of indicative value.

8.3. Thader Pharma delivers to Spain (including the Canary and Balearic Islands), except Ceuta and Melilla. Also in Portugal (mainland), France and Germany.

For orders/deliveries to Ceuta, Melilla and any other foreign country, please contact us via the form. The possibility of delivery will be assessed, but by default and for the moment it is not possible.

8.4. The CLIENT will not be able to hold Thader Pharmasi responsible, in any way whatsoever, if there is a delay in the issuing of the order or in the delivery of the PRODUCTS that are the object of the PURCHASE CONTRACTS.

8.5. The ordered PRODUCTS are delivered to the address specified by the CUSTOMER. An e-mail confirming the delivery will be sent to the CUSTOMER when Thader Pharma delivers the PRODUCTS to the transport company in charge. Delivery will be made without appointment.

8.6. Deliveries will be made from Monday to Friday, during normal office hours, excluding national holidays, according to the methods established by the transport company chosen by the CUSTOMER. Delivery is considered completed at the moment when the PRODUCT is delivered to the CUSTOMER at the address specified in the order form. In the event that the order cannot be delivered because the recipient is not at the specified address, the carrier will send a warning e-mail and will try to make a new delivery in accordance with the transport company's pre-established methods.

In the event that the new delivery cannot be made because the recipient is not at the specified address, Customer Service will attempt to contact the CUSTOMER to schedule a new delivery date. If the CUSTOMER Service is unable to contact the CUSTOMER within 10 days or in the event of a subsequent impossibility of delivery because the addressee is not at the address, the ordered PRODUCTS will be returned to Thader Pharma.

After 30 (thirty) days from the date on which the ordered PRODUCTS have been returned to Thader Pharma due to the impossibility of delivery, the contract will be terminated and the purchase order will be cancelled in accordance with the provisions of Title II of the Spanish Civil Code. Thader Pharma will reimburse the amount paid by the CUSTOMER net of the cost of returning the PRODUCTS and the cost of keeping them at the subsidiary of the transport company responsible for delivery.

8.7. The termination of the contract and the amount of the refund shall be communicated by e-mail. The amount of the refund shall be credited to the means of payment used by the CUSTOMER for the purchase. In the event that the CUSTOMER requests to receive the purchased PRODUCTS again before the 30 days have elapsed, Thader Pharm will make the new delivery with a prior charge, in addition to the cost of delivery, the cost of returning the PRODUCTS to Thader Pharm and the cost of maintenance.

8.8. When the transport company appointed by THADER PHARMA delivers the PRODUCTS, the CUSTOMER is obliged to scrupulously check that

a) That the security seal is intact and that the packaging is not damaged or altered.

b) That the number of items delivered corresponds to that indicated on the transport document.

8.9. The CUSTOMER shall be entitled to claim for any damage caused to the security seal, the packaging or the PRODUCTS, the non-correspondence of the number of items/packages or the indications. To do so, the CUSTOMER may contact Thader Pharmaa through the CUSTOMER Service Department, specifying the order in which such damage has been observed.

8.10. Force majeure, unavailability of means of transport as well as unforeseeable or unavoidable events that cause a delay in deliveries, make deliveries difficult or impossible or cause a significant increase in the cost of delivery to be borne by Thader Pharma, shall entitle Thader Pharma to split, reship or cancel, in whole or in part, the planned delivery or to terminate the Purchase Contract. In such cases, Thader Pharma will be responsible for communicating to the CUSTOMER in a timely and appropriate manner its own determinations by sending an e-mail. The CUSTOMER will be entitled to a refund of any amount already paid, to the exclusion of any further claim by Thader Pharma.

9. PRODUCT AVAILABILITY

Our product offers on the SITE are subject to product availability. In the event of unavailability of products after the order has been recorded, we undertake to inform you as soon as possible and to give you a new date by which you will receive your order. In this case, you will have the option to cancel your order and be reimbursed the amount paid by paypal, credit card or bank transfer within 14 days of the cancellation request, or you can request an exchange of your order using the contact form. Thader Pharma reserves the right to cancel the order due to lack of availability, in which case the customer will be informed as soon as possible.

10. DISCOUNT VOUCHERS; PROMOTIONS

10.1. Any discount vouchers or promotional codes may be entered when the CUSTOMER completes the purchase order. The system will update the total amount of the order to the net value of the voucher.

10.2. The discount voucher may be accumulated with other commercial initiatives only in cases where expressly indicated.

10.3. Gift: We give your purchase with a gift to choose from among those available in the three sections according to the amount of the order. It will be sent depending on availability. That is to say, if we do not have stock when preparing the order, it will be replaced by another of the same function and/or amount. If no gift is available, the customer will be notified.

11. RIGHT OF WITHDRAWAL AND ITS EFFECTS

11.1 The CUSTOMER has the right to withdraw from the contract, without stating reasons, within 14 days (withdrawal period).

11.2 The cancellation period expires (i) after 14 days from the date on which the CUSTOMER or a third party, other than the carrier and designated by the CUSTOMER, receives the goods, or (ii) in the event that the contract relates to several PRODUCTS ordered at the same time but delivered separately, after 14 days from the date on which the CUSTOMER or a third party, other than the carrier and designated by the CUSTOMER, receives the last PRODUCT.

11.3. In order to exercise the right of withdrawal, the CUSTOMER is obliged to inform Thader Pharma (Innovaciones Cosmético-Farmacéuticas, S.L, Calle Carlos Egea Krauel, 1319 - Polígono Industrial Oeste- 30169San Ginés, Murcia) of his decision to withdraw from the contract by means of an explicit declaration (e.g. a letter sent by post, fax or e-mail). For this purpose, the cancellation form on the Thader Pharma WEBSITE can be filled in and sent electronically. If the CUSTOMER chooses this method, Thader Pharma will immediately send a confirmation of receipt of the cancellation request on a durable medium (e.g. by e-mail).

11.4. In order to comply with the cancellation period, it is sufficient for the CUSTOMER to send the communication concerning the exercise of the right of cancellation before the end of the cancellation period.

11.5. If the CUSTOMER terminates this contract, all payments made by the CUSTOMER to Thader Pharma, including delivery costs (with the exception of any additional costs resulting from the choice of a type of delivery other than the least expensive type of standard delivery offered), will be reimbursed without undue delay and in any event not later than 14 days from the date on which Thader Pharma is informed of the decision to terminate this contract. Such refunds shall be made using the same form of payment used by the CUSTOMER in the initial transaction, unless expressly agreed otherwise; in any case, the CUSTOMER shall not have to bear any costs as a consequence of such refund. The reimbursement may be suspended until the goods are received or until proof is received from the consumer that the goods have been reshipped, if this is done earlier.

11.6. The CUSTOMER is obliged to return the goods or deliver them to Thader Pharma, Calle Carlos Egea Krauel, 1319 - Polígono Industrial Oeste - 30169 San Ginés, Murcia, Spain, without undue delay and in any case not later than 14 days after the date on which he has communicated the termination of this contract. The termination of the contract is respected if the CUSTOMER sends back the goods before 14 days have elapsed. The direct costs of returning the goods shall be borne by the CUSTOMER. The CUSTOMER shall be liable for any deterioration of the goods resulting from handling the goods other than what is necessary to establish the nature, characteristics and functioning of the goods.

11.7. In any case, the CUSTOMER may not exercise the right of withdrawal in the case of sealed goods that cannot be returned for reasons of hygiene or health protection or that have been opened or handled after delivery. We recommend that you refer to the Returns section for more detailed information.

12. NON-CONFORMITY WITH THE PRODUCTS AND DEFECTIVE PRODUCTS

12.1. The PRODUCTS offered on the SITE are in conformity with national and EU legislation. The images and colours of the PRODUCTS published on the SITE may differ from the real ones due to the local configurations of the systems and/or tools used for their display.

12.2. In the event of non-conformity of the PRODUCTS purchased with respect to the description published on the SITE and in the event of damaged or defective PRODUCTS, the CUSTOMER is entitled to immediate reimbursement of the non-conforming goods, subject to the sending of photographs showing the damage or non-conformity of the PRODUCT via the form in the CUSTOMER Service section.

12.3. The Thader Pharma team will send a communication indicating the method of reimbursement which may also be made, at the discretion of the CUSTOMER, by the same method of payment or discount vouchers for the next purchase that exceeds the value of the goods to be reimbursed, excluding any further liability of Thader Pharma, in any way whatsoever.

12.4. In any case, the provisions regarding the legal guarantee of conformity with the goods are excluded, in accordance with the terms of Law 23/2003, of 10 July, on Guarantees in the Sale of Consumer Goods, and the ROYAL LEGISLATIVE DECREE 1/2007, of 16 November, which approves the revised text of the General Law for the Defence of Consumers and Users and other complementary laws.

12.5.In compliance with the regulation (EU) nordm;524/2013 of the European Parliament and of the Council of 21 May 2013 in relation to the extrajudicial resolution of disputes between consumers and Internet service providers, Thader Pharma informs you that in case of disagreement you may make use of the Online Platform for Dispute Resolution through this link: https://ec.europa.eu/consumers/odr/

13. PROCESSING OF PERSONAL DATA

CUSTOMER data are processed by THADER THPHARMA in accordance with the provisions of current legislation on the protection of personal data, as specified in the information contained in the section entitled "Privacy Policy".

14. COMMUNICATIONS AND COMPLAINTS

All communications or complaints from the CUSTOMER to Thader Pharmar related to the PURCHASE CONTRACTS must be communicated through the corresponding contact forms in the Reserved Area.

15. INTELLECTUAL PROPERTY RIGHTS

In accordance with current legislation, Thader Pharm owns the rights to all trademarks (registered and unregistered), as well as all logos, works of art, distinctive signs or names, images, photographs, written or graphic texts and, in general, any other intangible property protected by law and international conventions on intellectual property and industrial property, reproduced on the WEBSITE; are the exclusive property of Thader Pharmay and/or its licensors, and access to the SITE and/or the stipulation of the PURCHASE CONTRACTS does not give the CLIENT any rights over them. Any reproduction or use, even partial, of the same is expressly prohibited without the prior written authorisation of Thader Pharma, to which all corresponding rights are exclusively reserved.

16. APPLICABLE LAW AND JURISDICTION

16.1 These GENERAL CONDITIONS and any contract stipulated with the CLIENT are governed by Spanish law, with the exception of the application of Community regulations and international treaties, where applicable, as well as national consumer protection regulations.

16.2 For any dispute relating to the interpretation, execution, validity or effectiveness of these GENERAL CONDITIONS and of any contract stipulated with the CUSTOMERS, the exclusive jurisdiction for any dispute will be the jurisdiction to which Thader Pharma is adhered at the time the dispute arises.

16.3 The language of interpretation in the event of confusion over the meaning of a term or provision of these Conditions of Sale is Spanish.
